1. Agreement to Terms
By accessing or using PlanIT (“the Service”), operated by ITNIR (“we”, “us”, “our”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, do not use the Service.
2. Service Description
PlanIT is a cloud-based project management platform that enables users to track issues, manage projects, plan iterations, collaborate with teams, and visualize roadmaps. The Service is provided as Software-as-a-Service (SaaS) accessible via web browser.
3. Account Registration
3.1 Eligibility
You must be at least 16 years old to create an account. By creating an account, you represent that you meet this age requirement.
3.2 Account Security
- You are responsible for maintaining the confidentiality of your account credentials.
- You must notify us immediately at support@itnir.com if you suspect unauthorized access.
- You are responsible for all activity that occurs under your account.
- You must provide accurate and complete information when creating your account.
3.3 Email Verification
Certain features (creating organizations, inviting members) require a verified email address. You agree to verify your email when prompted.
4. Subscription Plans & Payment
4.1 Plans
PlanIT offers the following subscription tiers:
- Free: $0/month — up to 3 organization members, all features included.
- Pro: $29/month — up to 12 organization members, all features included, priority support.
- Business: $79/month — unlimited members, all features included, priority support, dedicated onboarding.
All plans include the same features — pricing is based on team size only. One free organization is included per user account.
4.2 Billing
- Paid subscriptions are billed monthly in advance via Stripe.
- All prices are in US Dollars (USD) and are exclusive of applicable taxes.
- You authorize us to charge the payment method on file for recurring subscription fees.
- Invoices are available through the Stripe Customer Portal.
4.3 Cancellation & Refunds
- You may cancel your subscription at any time through your account settings.
- Upon cancellation, you retain access until the end of the current billing period.
- After the billing period ends, your organization will revert to Free tier limits.
- We do not provide refunds for partial billing periods, except where required by law.
4.4 Price Changes
We may change subscription prices with at least 30 days' written notice. Price changes take effect at the start of your next billing period after the notice period. If you do not agree to the new price, you may cancel before the change takes effect.
5. Acceptable Use
You agree not to use PlanIT to:
- Violate any applicable law, regulation, or third-party right.
- Transmit malware, viruses, or harmful code.
- Attempt to gain unauthorized access to the Service or other users' accounts.
- Use the Service for spam, phishing, or unsolicited communications.
- Reverse-engineer, decompile, or disassemble any part of the Service.
- Circumvent rate limits, usage restrictions, or security measures.
- Use the Service to store or transmit content that is illegal, defamatory, or infringing.
- Resell or redistribute the Service without our written consent.
- Intentionally overload or disrupt the Service infrastructure.
We reserve the right to suspend or terminate accounts that violate this policy, with notice where practicable.
6. Intellectual Property
6.1 Your Content
You own your data. All content you create within PlanIT (issues, projects, comments, attachments, organization data) remains your intellectual property. We claim no ownership over your content.
You grant us a limited, non-exclusive license to host, store, and display your content solely for the purpose of providing the Service. This license terminates when you delete your content or account.
6.2 Our Service
PlanIT, including its code, design, branding, documentation, and all related materials, is the intellectual property of ITNIR. These Terms do not grant you any right to use our trademarks, logos, or brand assets.
6.3 Feedback
If you provide suggestions, ideas, or feedback about the Service, you grant us a non-exclusive, royalty-free, worldwide license to use that feedback to improve the Service without obligation to you.
7. API & Third-Party Access
7.1 API Usage
PlanIT provides a REST API for programmatic access. API usage is subject to rate limits based on your subscription tier. You are responsible for securing your API credentials and tokens.
7.2 OAuth Applications
You may authorize third-party applications to access your PlanIT data via OAuth 2.0. You are responsible for reviewing the permissions requested by third-party applications. You may revoke access at any time through your account settings.
8. Data Processing & Privacy
8.1 Privacy Policy
Our collection, use, and protection of personal data is governed by our Privacy Policy, which forms part of these Terms.
8.2 Data Processing Agreement (GDPR)
Where we process personal data on your behalf (as a data processor under GDPR or UK GDPR), the following terms apply:
- We process data only on your documented instructions and for the purpose of providing the Service.
- We implement appropriate technical and organizational measures to protect personal data (see Privacy Policy, Section 11).
- We do not engage additional sub-processors without providing you prior notice and the opportunity to object.
- We assist you in responding to data subject access requests within the time limits set by GDPR.
- We notify you without undue delay (and within 72 hours where feasible) upon becoming aware of a personal data breach.
- Upon termination, we delete or return all personal data within 30 days, unless retention is required by law.
- We make available information necessary to demonstrate compliance and allow for audits.
8.3 Data Location
Primary data storage is in the European Union (Frankfurt, Germany) via Supabase (AWS). Some data may be processed in the United States by our sub-processors. International transfers are protected by Standard Contractual Clauses, the EU-US Data Privacy Framework, or the UK International Data Transfer Agreement as applicable. 9. Service Availability & Support
9.1 Availability
We aim to maintain 99.9% uptime but do not guarantee uninterrupted availability. Planned maintenance will be communicated in advance where possible. We are not liable for downtime caused by circumstances beyond our reasonable control (force majeure).
9.2 Support
- Free tier: Community support and documentation.
- Pro & Business tiers: Priority email support at support@itnir.com.
- Business tier: Dedicated onboarding assistance.
10. Limitation of Liability
10.1 Service Provided “As Is”
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10.2 Limitation
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ITNIR'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.
10.3 Exclusions
IN NO EVENT SHALL ITNIR BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF THE CAUSE OF ACTION.
10.4 Consumer Rights
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including (for EU/UK consumers) liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
11. Indemnification
You agree to indemnify and hold harmless ITNIR from claims, damages, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right; or (d) your content.
12. Termination
12.1 By You
You may terminate your account at any time by deleting it through your account settings, or by contacting us at support@itnir.com. Upon deletion, your personal data will be removed within 30 days.
12.2 By Us
We may suspend or terminate your access if:
- You breach these Terms and fail to remedy the breach within 14 days of notice.
- You engage in activity that threatens the security or integrity of the Service.
- We are required to do so by law.
Where possible, we will provide reasonable notice and an opportunity to export your data before termination.
12.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (IP rights, limitation of liability, indemnification, governing law) will survive.
13. Changes to Terms
We may modify these Terms from time to time. When we make material changes, we will:
- Provide at least 30 days' notice via email or prominent website notice.
- Update the “Last updated” date at the top of this page.
Continued use of the Service after the notice period constitutes acceptance of the modified Terms. If you disagree, you may terminate your account before the changes take effect.
14. Governing Law & Disputes
14.1 Governing Law
These Terms are governed by the laws of the State of Israel, without regard to conflict of law principles.
14.2 EU/UK Consumer Rights
If you are a consumer in the European Union or United Kingdom, you retain the benefit of mandatory consumer protection provisions of your country of residence. Nothing in these Terms affects your statutory rights as a consumer.
14.3 Dispute Resolution
We encourage you to contact us first at support@itnir.com to resolve any disputes informally. If informal resolution fails, disputes shall be submitted to the competent courts of Tel Aviv, Israel — except that EU/UK consumers may bring proceedings in their local courts.
EU consumers may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
15. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and ITNIR regarding the Service.
- Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
- Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
- Assignment: You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Force Majeure: We are not liable for failures due to circumstances beyond our reasonable control, including natural disasters, pandemics, war, government actions, or infrastructure failures.
